1. Timing
The Coffee & Chill in the Keys Giveaway (the "Promotion") begins on [ENTRY START DATE], 2026 at [TIME] p.m. Eastern Time ("ET") and ends on [ENTRY END DATE], 2026 at [TIME] p.m. ET (the "Promotion Period"). Sponsor's computer is the official timekeeping device for this Promotion.
2. Eligibility
The Promotion is open only to legal residents of Miami-Dade County, Broward County, or Palm Beach County, Florida who are at least twenty-one (21) years of age at the time of entry. Employees, officers, and agents of LNEB Ventures LLC (d/b/a Coffee & Chill Miami), Pelican Cove Resort, LLC, PC Inn Resort, LLC, d/b/a Three Waters Resort and Marina, Davidson Hotel Company, LLC d/b/a Davidson Hospitality Group, Spray Watersports, and any of their respective affiliate companies, as well as the immediate family (spouse, parents, in-laws, siblings, and children) and household members of each such employee, are not eligible. Void where prohibited by law. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and to the Sponsor's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.
3. How to Enter
No purchase necessary. During the Promotion Period, entrants must complete the following on Instagram:
- Follow @coffeeandchillmiami and @threewatersresort.
- Tag the friend you would bring with you in the comments of the official giveaway post.
- (Bonus) Share the post to your Instagram story, tell us what it would mean to you to win, and tag @coffeeandchillmiami.
4. Winner Selection and Notification
On [WINNER ANNOUNCEMENT DATE], 2026, Sponsor will randomly select five (5) potential winners from among all eligible entries received during the Promotion Period. Each winner may bring one (1) guest ("plus-one") who must also be at least 21 years of age. Potential winners will be notified by Instagram direct message and/or email. A potential winner must confirm eligibility and accept the prize within [24 hours] of first notification. If a potential winner cannot be contacted within that period, declines, fails to meet any eligibility requirement, or fails to comply with these Official Rules, the prize will be forfeited and an alternate winner will be selected at random from the remaining eligible entries. Except where prohibited, a potential winner may be required to sign and return an Affidavit of Eligibility, Liability & Publicity Release before the prize is awarded.
5. Prizes
Each of the five (5) winners will receive the following, for the winner and one (1) guest, for travel on November 20–22, 2026: Approx. Retail Value ("ARV")
- Two (2) nights' accommodation in an Age-21-Plus Guest Room (1 King, ocean view, balcony, up to 2 guests) at The Cove at Three Waters Resort & Marina. $1,748 (incl. taxes and resort fee)
- $200 food & beverage credit, redeemable during the stay.
- $129 Group boat snorkeling + Islamorada Sandbar experience with Spray Watersports.
- Coffee & Chill community dinner at Kindler Islamorada.
- Coffee & Chill community workout with Lucy & Eric.
No cash or other substitution, assignment, or transfer of any prize is permitted, except by Sponsor, who reserves the right to substitute a prize or component with one of comparable or greater value. Prizes are non-transferable and non-refundable; resale is prohibited. The winner is responsible for all federal, state, and local taxes and fees associated with prize receipt and use. Because the prize value exceeds $600, each winner will be required to provide Sponsor with a valid Social Security Number and will receive an IRS Form 1099 for the retail value of the prize. Accommodations and experiences are subject to availability and any blackout dates. All expenses not expressly stated above — including transportation to and from the resort, additional meals, incidentals, gratuities, and personal charges — are the sole responsibility of the winner. Prizes are awarded "as is" with no warranty or guarantee, express or implied. Odds of winning depend on the number of eligible entries received.
6. Publicity
By entering and/or accepting a prize, each entrant grants Sponsor and its partners a non-exclusive, worldwide, royalty-free, perpetual license to use the entrant's name, likeness, biographical information, and submission in any and all media now known or hereafter devised, for editorial, publicity, promotional, or advertising purposes, without further permission, notice, or compensation (except where prohibited by law).
7. General Conditions
Sponsor is not responsible for lost, late, incomplete, invalid, or misdirected entries, which will be disqualified. Sponsor reserves the right, in its sole discretion, to modify, suspend, or cancel the Promotion if fraud, technical failure, or any other factor beyond Sponsor's reasonable control impairs its integrity or proper functioning, and to disqualify any individual it finds to be tampering with the entry process or acting in violation of these Official Rules. Sponsor's failure to enforce any term does not constitute a waiver of that provision.
8. Release and Limitation of Liability
By receipt of any prize, the winner agrees to release and hold harmless LNEB Ventures LLC (d/b/a Coffee & Chill Miami), Pelican Cove Resort, LLC, PC Inn Resort, LLC d/b/a Three Waters Resort and Marina, Davidson Hotel Company, LLC d/b/a Davidson Hospitality Group, Spray Watersports, Instagram, Inc., Facebook, and each of their respective parent, subsidiary, affiliate, and related companies, officers, directors, employees, and agents (collectively, the "Released Parties") from any and all claims, losses, or damages arising, directly or indirectly, out of participation in the Promotion or acceptance, use, or misuse of any prize, including without limitation personal injury, death, and property damage. This expressly includes any injury or damage arising from water-based activities, boating, snorkeling, and the sandbar experience. The Released Parties are not responsible for incorrect or inaccurate information, technical or human error, or any injury or damage to persons or property in connection with the Promotion or prize.
9. Disputes
All disputes arising out of or connected with this Promotion shall be resolved individually, without resort to any class action, and exclusively by the appropriate courts located in the State of Florida. Claims are limited to actual out-of-pocket costs; entrant waives all rights to punitive, incidental, and consequential damages. These Official Rules are governed by the laws of the State of Florida without regard to conflict-of-law principles.
